Supplier Terms

These Supplier Terms govern your participation as a Supplier in the PlatformDTC Supplier Network (the "Network"), operated by Legalize Freedom LLC, a Delaware limited liability company doing business as "PlatformDTC" ("PlatformDTC," "we," "us"). They supplement our Terms & Conditions, Acceptable Use Policy and Brand Owner Agreement, which continue to apply to your store. Capitalized terms not defined here have the meaning given in our Terms & Conditions.
You accept these Supplier Terms by ticking the acceptance box when you create a supplier profile in your PlatformDTC dashboard. We record the version you accepted, the time, and the user who accepted it. If you do not agree, do not create a supplier profile or list products on the Network.
1. What the Network Is
The Network lets a PlatformDTC store (a "Supplier") list products it already manages so that other PlatformDTC stores (each a "Retailer") can import them and sell them to their own customers. When a customer buys an imported product, the order line is routed to the Supplier as a fulfillment request, and the Supplier ships it.
PlatformDTC provides the software only. PlatformDTC does not buy, sell, own, warehouse, inspect, test, certify, fulfill or ship any product listed on the Network, is not a party to the sale between a Supplier and a Retailer, and is not the seller of any product to a customer.
2. No Review Before Listing
PlatformDTC does not review, approve, verify or endorse listings, products, claims, labels, certifications or Suppliers before they appear on the Network. A listing appearing on the Network is not a statement by PlatformDTC about the product or the Supplier. Performance figures shown on the Network (such as accept rate, time to ship and on-time rate) are calculated from fulfillment records on the platform and are shown only when there is enough history to measure them.
3. Supplier Responsibilities
As a Supplier you are solely responsible for every product you list and every order you accept, including:
- Product safety — that each product is safe for its intended and reasonably foreseeable use, and is not recalled, adulterated, counterfeit or otherwise prohibited;
- Labelling — that packaging, labels, ingredient and allergen statements, warnings, country-of-origin marking and any required nutrition or supplement facts panels are complete, accurate and lawful in every destination you ship to;
- Regulatory compliance — compliance with all laws and regulations that apply to the manufacture, import, export, marketing, sale and shipment of your products, including product-safety, food and dietary-supplement, cosmetics, consumer-protection, advertising, customs and tax rules, and holding any registrations, licences or permits they require;
- Claims — that every description, image, health or performance claim, certification and "made in" statement in your listing is true and substantiated;
- Intellectual property — that you have the right to sell each product and to use every image, name and trademark in your listing;
- Fulfillment — responding to fulfillment requests promptly, shipping accepted orders within the handling time you publish, providing accurate tracking, and handling damaged, lost or incorrect shipments;
- Stock and pricing accuracy — keeping stock levels, wholesale prices and shipping rates on your listings current. Changes you make are passed to Retailers who imported the product.
You must not list any product or category that our Acceptable Use Policy prohibits or restricts.
4. Orders
Each order line routed to you arrives as a fulfillment request. You may accept or reject a request; if you reject it, give the reason. Once you accept, you must ship the items and add tracking, or tell the Retailer promptly if you cannot. Tracking you add is passed to the Retailer's order and to the customer's shipping notifications.
The Retailer remains the seller to its customer and handles customer service, returns and refunds with that customer. You and the Retailer agree between yourselves how returns, damaged goods and refunds are settled.
5. Billing and Payment
Money settles directly between you and the Retailer. PlatformDTC does not collect wholesale or shipping amounts from Retailers, does not pay Suppliers, and does not hold funds for either party.
- You bill each Retailer directly for the wholesale price and shipping of the orders you fulfilled, on the terms you agree with that Retailer.
- PlatformDTC provides both sides with a statement of network orders, wholesale amounts and shipping, which either party may download. The statement is a record to help you invoice and reconcile; it is not an invoice issued by PlatformDTC.
- You are responsible for any taxes, duties and fees on your sales to Retailers.
PlatformDTC is not responsible for any unpaid, late or disputed amount between a Supplier and a Retailer.
6. Platform Fee
PlatformDTC charges no platform fee on Network orders during the first year of the Network, beginning on the Effective Date above. Any fee introduced after that period will be announced to Suppliers before it takes effect and will apply only to orders placed after that date. Your regular PlatformDTC plan fees for your own store are unaffected.
7. Indemnity
You will defend, indemnify and hold harmless PlatformDTC and its members, officers, employees and agents from any claim, loss, liability, penalty, recall cost or expense (including reasonable legal fees) arising out of a product you list or ship, your listing content, your fulfillment of any order, or your breach of these Supplier Terms or of any law.
8. Pausing, Removal and Termination
You may pause or remove any listing, or pause your supplier profile, at any time from your dashboard. Paused and removed listings stop being purchasable in Retailers' stores; they are not deleted from those stores. You must still fulfill, or properly resolve with the Retailer, every request you accepted before pausing or removing.
We may remove a listing or suspend a supplier profile that we believe breaches these Supplier Terms, our Acceptable Use Policy or the law, or that exposes customers, Retailers or PlatformDTC to harm.
9. Changes to These Terms
We may update these Supplier Terms. The version and effective date appear at the top of this page. If a change is material, we will notify Suppliers in the dashboard and may ask you to accept the new version to keep listing products.
